Acceptance of Terms
These Terms of Service ("Terms") govern your use of the Priamed website at priamed.com (the "Website") and our software-as-a-service prior authorization automation platform, applications, APIs, and developer tools (collectively, the "Platform"), operated by Priamed Technologies LLC ("Company," "we," "us," or "our"). By accessing or using the Website or Platform, you agree to these Terms. If you do not agree, do not use the Website or Platform.
Description of Service
The Platform automates prior authorization and enables interoperability between medical providers and payers. The Website provides information about our products and services. We may modify, suspend, or discontinue any aspect of the Website or Platform at any time.
Accounts and Registration
Certain features require an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You agree to provide accurate, current, and complete information and to keep it updated.
License and Acceptable Use
Limited License
Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable right to access and use the Website and Platform for your internal business purposes.
Acceptable Use
You will not: (a) use the Website or Platform for unlawful purposes; (b) reverse engineer, decompile, or attempt to derive source code; (c) interfere with or disrupt the integrity or performance of the services; (d) access data not intended for you; or (e) use the services to transmit malware, spam, or infringing, defamatory, or otherwise unlawful content.
Compliance, PHI, and HIPAA
The Platform processes Protected Health Information ("PHI") to support prior authorization workflows. We do so in accordance with applicable law—including the HIPAA Privacy, Security, and Breach Notification Rules—and under a Business Associate Agreement ("BAA") executed with the relevant Covered Entity or Business Associate. We implement administrative, physical, and technical safeguards designed to protect ePHI as required by the HIPAA Security Rule. You are responsible for ensuring that your organization’s use of the Platform complies with applicable laws, your internal policies, and any obligations you owe to third parties (including providing required notices/consents and configuring user access appropriately).
Interoperability and Standards
The Platform exchanges data between medical providers and payers using healthcare interoperability standards, including HL7® FHIR® (R4/R4B), HL7 Da Vinci Implementation Guides for Coverage Requirements Discovery (CRD), Documentation Templates and Rules (DTR), and Prior Authorization Support (PAS), CDS Hooks, SMART on FHIR (including backend services), and, where required, X12 278/275 transactions. Interactions with external electronic health records (EHRs), payer APIs, clearinghouses, and other endpoints are performed by the Platform on your organization’s behalf to fulfill configured prior-authorization workflows. Those external systems and services are governed by their own terms and policies with the relevant providers; we do not control them.
AI and Automated Decision Support
Scope of AI Features
The Platform may provide AI-assisted capabilities (e.g., extracting and structuring clinical documentation, validating completeness against payer requirements, suggesting codes or documentation elements, routing/triage, and predicting likelihood of approval or required attachments). Outputs are generated algorithmically and may be probabilistic.
Human Oversight; No Medical Advice
AI features support, but do not replace, professional judgment. Clinical decisions and prior authorization submissions remain the responsibility of qualified personnel at your organization. The Website and Platform do not provide medical advice.
Data Use for AI
We may use de-identified or aggregated data to develop and improve AI features. We do not use PHI for model training except as permitted under applicable law and the BAA and only as configured or authorized by the relevant customer.
Customer Responsibilities
You are responsible for reviewing AI-generated outputs prior to use, configuring appropriate safeguards and approval workflows, and ensuring your use complies with applicable law, payer policies, and organizational requirements.
Privacy
Your use of the Website and Platform is subject to our Privacy Policy, which explains how we collect, use, and safeguard information.
Security
We employ administrative, technical, and physical safeguards designed to protect information processed by the Platform. You are responsible for implementing appropriate safeguards in your environment, including access controls, device security, and secure network configurations.
Service Changes; Availability; Support
We may enhance or modify features from time to time. We aim to maintain availability but do not guarantee uninterrupted service. We may provide documentation and support resources and may offer additional support under separate agreements.
Intellectual Property
We and our licensors own all rights, title, and interest in and to the Website, Platform, and related IP. No rights are granted except as expressly set forth in these Terms.
Feedback
If you provide feedback or suggestions, you grant us a worldwide, royalty-free, irrevocable license to use and incorporate them without restriction.
Beta Features
We may offer beta or preview features identified as such. Beta features are provided for evaluation, may change or be discontinued, and are provided "as is."
Disclaimers
THE WEBSITE AND PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE OR PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or misuse of the Website or Platform.
Suspension and Termination
We may suspend or terminate access immediately for material breach, security risk, unlawful activity, or to comply with law. Upon termination, your right to access the Website and Platform ceases. Sections that by their nature should survive will survive (e.g., IP, confidentiality, disclaimers, limitations, indemnification, governing law).
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Maryland, U.S.A., without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms will be brought in the state or federal courts located in Maryland, and each party consents to jurisdiction and venue in those courts.
Changes to Terms
We may update these Terms from time to time. If a change is material, we will provide notice by posting the updated Terms and updating the "Last Updated" date. Your continued use after changes become effective constitutes acceptance.
